Bylaws

Article I - Name

 

Section 1.  Name. The name of this organization shall be High Noon Republican Women.

 Section 2.  Affiliation.  This club shall be a member of 5th Congressional District Federated Republican Women’s Club, the Missouri Federation of Republican Women (MoFRW) and the National Federation of Republican Women (NFRW).

 Article II - Objectives and Policies.

 Section 1.  The objectives of this Club shall be to:

(a)    Promote an informed public through political education and activity.

            (b)    Increase the effectiveness of women in the cause of good government.

            (c)     Participate in activities of the Congressional, State and National Republican Women’s   Clubs.

 

(d)   Foster loyalty to the Republican Party and to promote its principals and candidates in all elections, including non-partisan elections.

 

(e)   Support the objectives and policies of the Republican National committee, the Missouri Republican Party and to work for the election of Republican nominees.

 

(f)     Promote the principles of freedom, equality and justice on which the government of our country was founded.

 

Section 2.  The policies of this Club shall be:

(a)     No opposed Republican candidate for office shall be endorsed by the Club itself or any of its officers prior to the party primary.

 

(b)     Individual Club members are free to work for or support the candidates of their choice, as long as it is not done in the name of the Federation.

 

(c)     This Club shall not advocate a split ticket or support or endorse a    

       candidate on an opposition ticket.

 

(d)     All political material, petitions or items for sale, shall have prior approval of the Executive Committee before being circulated or    displayed.

 

(e)     This Club shall not give its membership list to any other organization or any non-member.

 

Article III - Membership.

 

Section 1.  Membership.  Membership in this organization shall be open to any woman who is a citizen of the United States of America, supports the principals of the Republican Party, and is a registered voter.                                                                                                             

Section 2.  Classification of membership.

(a)   Regular Members.  Those club members on whom the club pays per

capita dues and shall count for representation at MoFRW or NFRW        Conventions.

 

(b)   Affiliate Members.  Republican women who chose to hold membership in other Federated Republican Women’s Clubs in addition to their regular membership in their home Club may be affiliate members.  Affiliate members shall not be counted for the purpose of per capita dues, determining the number of delegates to MoFRW or NFRW Conventions

 

(c)   Associate Members.  Republican men may be eligible for associate membership upon payment of the required dues.  They may attend meetings but cannot make motions, have a voice vote, be on a committee, hold office, or be counted for the purpose of a quorum or determining the number of delegates to the MoFRW or NFRW Conventions.

 

(d)    Honorary Members.  Women not fitting within the criteria of subsections (a) and (b).  After approval by the Executive Committee, these women become Club members with full voting rights, but may not hold office or serve as a delegate or alternate at the MoFRW and NFRW Conventions, and will not be counted for the purpose of per capita dues or become members of the MoFRW or NFRW.

 

(e)   Gift Membership.  These memberships are available to honor or remember a person in any amount the donor wishes to give and may not be counted for the purpose of per capita dues and for determining the number of delegates to MoFRW or NFRW Conventions.  

 

Section 3.  Dues.  Membership dues for the coming year may be paid anytime from October 1 to December 31 so that dues to MoFRW and NFRW can be sent in at the first of the new year.  Members may pay in advance for two or three years.

 

Section 4.  Removal from Membership.

(a)    Any member who advocates a split ticket or supports a candidate of any opposition party.

 

(b)    Any member, having received a written notice from the Treasurer and being more than six (6) months in arrears for payment of dues, shall be dropped from the regular membership roster.

Section 5.  Member Reinstatement.  Upon payment of all delinquent dues, a member shall be reinstated with the approval of 2/3 vote of the Executive Committee.

 

Article IV - Officers and their Duties.

 

Section 1.  Office Eligibility.  Officers shall be legal voters in the State of Missouri and active, regular members in good standing of this club.

 

Section 2.  Elected Officers.  The elected officers of this club shall be President, Vice President, Recording Secretary and Treasurer.

 

Section 3. Office Term. 

(a)   Officers shall be elected at the October meeting in the odd numbered years. 

 

(b)   The term of office shall be from January 1 following the election through December 31 two years hence or until their successors are elected, regardless of when installation takes place.

                  

Section 4.  Duties of the President.

(a)   Preside at all regular and special meetings of the Club and the   Executive Committee.

 

(b)   Appoint all committees, the committee chairs, except the Nominating Committee, both standing and special, a Parliamentarian, and a Chaplain, subject to the approval of the Executive Committee.

 

(c)   Serve as an ex-officio member to all committees except the Nominating Committee.

 

(d)   Represent this organization at all times or designate another officer in line in her absence or inability to do so.  

 

(e)   Be a signatory on Club bank account and shall be empowered to sign checks in an emergency or the inability of the Treasurer to do so.

 

(f)     Appoint an Auditor and one other member to audit the Treasurer’s book after December 31st of every even numbered year.

 

(g)   Prepare the annual budget with the Treasurer, present it to the Executive Committee and recommend its approval by the membership.

 

Section 5.  Duties of the First Vice President.

(a)   Perform all the duties of the President in her absence or inability to serve.

 

(b)   Serve as Chair of the Membership Committee.

(c)   Maintain the membership record with the Treasurer for the Club.

 

(d)   Send notice(s) of unpaid dues to regular members after January 1st.

 

            (e) Perform such other duties as may be assigned by the President.

 

Section 6. Duties of the Second Vice President.

(a)   Perform all duties of the President in the absence of the President and the First Vice President.

 

(b)   Serve as Chair of the Program committee and be responsible for obtaining speakers and providing necessary material (podium, microphone, overhead or screens, etc) for meetings.

 

(c)   Present a framework of the year’s programs to the Executive Committee.

 

(d)   Send a thank-you note to each program speaker.

 

            (c) Perform such other duties as may be assigned her by the President.

 

Section 7.  Duties of the Recording Secretary.

(a)   Record, present and keep accurate minutes of all special and regular meetings for the Club and the Executive committee.

 

(b)   Notify the State President and Treasurer, and 5th Congressional District President and Treasurer with the names, addresses, telephone numbers, and e-mail addresses (if any) of all elected officers, immediately following the election.

 

(c)   Be custodian of all records and documents of this Club except those that pertain to some other office or committee.

 

(d)   Provide the President with a copy of the minutes as soon after the meeting as possible.

 

(e)   Read all Executive Committee recommendations at the Club meeting, upon the President’s request.

 

(f)     Have copies of the Club Bylaws available at Club and Executive Committee meetings.

 

(g)   Release the books to her successor a minimum of 14 days after the December Club meeting.

 

(h)  Perform such other duties as may be assigned to her by the President.

 

 

 

Section 8.  Duties of the Treasurer.

(a)   Place the Club monies in a bank the Executive Committee has approved.

 

(b)   Receive all funds of the Club.

 

(c)   Disburse funds as directed by a vote of the Club members or the Executive Committee.

 

(d)   Keep an accurate roster of the Club membership.

 

(e)   Make six typed membership lists, complete with names, addresses, telephone numbers, and e-mail addresses (if any) to be distributed as follows:

a.      State Treasurer when paying dues.

b.      5th Congressional District President.

c.      5th Congressional District Treasurer.

d.      Club Treasurer’s file.

e.      Club President.

f.        Club First Vice President.

 

(f)     Be an ex officio member of the Budget Committee and assist in structure and compiling of figures for the budget.

 

(g)   Prepare for an audit with the approval of the Executive Committee at the end of each two-year term of office.

 

(h)  Perform such other duties as may be assigned to her by the President.

 

(i)     Release the books to her successor a maximum of 30 days after December 1st.

           

Section 9. Officer Records.  All officers, committee chair and vice chair shall deliver all records, files, and properties of the Club to their successors, unless otherwise directed by the President or Executive Committee.

 

Article V – Executive Committee

 

Section 1. Members. 

(a)   The Committee shall consist of the President, First Vice President, Second Vice President, Secretary, and Treasurer.

 

(b)   Appointed members i.e. Parliamentarian, Historian, etc. shall be non-voting members.

 

(c)   The Past President shall be an ex officio member.

 

 

 

Section 2. Duties.

(a)   Meet at the call of the President or on written request of a majority of members, and shall transact any necessary business, subject to ratification by the membership.

 

(b)   In the event of a vacancy of the office of President, the First Vice President shall automatically become President; the Second Vice President shall become First Vice President.  In the event of a vacancy in any other office, an interim appointment shall be made by the Committee to complete the unexpired term.

 

(c)   Approve or disapprove the President’s recommendations of chair of standing and/or special committees.

 

(d)   Consider the annual budget and recommend its approval by the membership.

 

(e)   Have jurisdiction over removal from membership and reinstatement.

 

(f)     A quorum shall be a majority of the voting members.

 

(g)   Have general supervision of the affairs of the Club, set the date, hour and place of meetings, and make recommendations at the regular Club meetings.

 

Article VI - Committees

 

Section 1.  Standing Committees.

(a)   The Committees shall be Bylaws, Membership, Americanism, Mamie Eisenhower/Literacy Project, Budget and Finance, Communication Network, and Newsletter. 

 

(b)   Chairs are appointed to a two-year term by the President and approved by the Executive Committee.  Chairs may be reappointed.

 

Section 2.  Special Committees. 

(a)   All other committees are Special Committees.

Article VII – Nominations and Elections

 

Section 1.  Nominating Committee members and duties.

(a)   Three members shall be elected at the regular meeting of the Club in July. 

 

(b)   Chair shall be selected from among the members.

(c)   Members of this committee shall not be eligible for an elected office.

 

(d)    A written copy of the proposed full slate of officers shall be signed by the Nominating Committee, given to the President and membership at the club’s regular September meeting.

 

Section 2. Nominations. 

(a)   No person shall be nominated who has not given consent to serve if elected.

 

(b)   Nominations may be made from the floor for any office at the October meeting.

 

Section 3. Election of Club Officers.

(a)   Election of officers shall be held at the October regular meeting.

 

(b)   Voting shall be by written ballot and a majority of votes shall constitute an election.

 

(c)   When there is only one candidate for an office, election may be by voice vote.

 

Section 4. Delegates.  The number of delegates and alternates designated by the MoFRW may be sent to the MoFRW Convention.

(a)   Delegates shall be chosen from the members of the Executive Committee.

 

(b)   If members of the Executive Committee are unable to attend the Convention, the remaining positions for delegates and alternates shall be elected at the regular Club meeting.

 

(c)   Delegate and alternates must have been members of the Club at least twelve (12) months.  This takes effect after the Club has been in existence for two (2) years.

 

Article VIII - Meetings

 

Section 1. Regular Meetings.

(a)   There shall be a minimum of six (6) regular Club meetings during the calendar year.

 

(b)   The date, time and location shall be recommended by the Executive Committee and approved by the membership, and specified in the Standing Rules.

 

(c)   A quorum shall be a majority of the voting members present.

 

 

Section 1. Regular Meetings continued.

(d)   The Annual Meeting shall be held in October and shall be for the purpose of receiving reports of officers and Committee chair, electing officers in odd numbered years and transacting business deemed necessary for the good of the Club.

 

Section 2. Executive Committee Meetings.  Meet at the call of the President or on written request of a majority of the members.

 

Section 3. Special Meetings.

(a)   May be called by the President or by written request of three (3) members.

 

(b)   Members must be notified five (5) working days by mail or e-mail prior to the meeting. 

 

(c)   Only those item stated in the call can be acted on.

 

(d)   A quorum shall be a majority of the voting members present.

 

Article IX – Dues

 

Section 1. National Service Charge.  The Club shall pay the established national service charge to the NFRW with the first membership list.  The Club then receives materials and other services from the NFRW.

 

Section 2. State Per Capita Dues. 

(a)   By March 1 of each year, a complete list of all regular members whose dues are current, accompanied by payment of per capita dues of those listed shall be sent to the MoFRW Treasurer.

 

(b)   A list of regular members added after that date shall be sent on a monthly basis to the MoFRW Treasurer accompanied by per capita dues.

 

Section 3. Congressional Dues. 

(a)   By March 1 of each year, a complete list of all regular members whose dues are current, accompanied by payment of the 5th Congressional District established membership fee shall be sent to the 5th Congressional District Treasurer.

 

(b)   A list of regular members added after that date shall be sent on a monthly basis to the 5th Congressional District Treasurer accompanied by the established membership fee.

 

Section 4. Club Dues.

(a)   Club membership dues for regular, affiliate and honorary members shall be payable to the Club Treasurer by January 1 of each year to be a member in good standing.

(b)   Associate membership dues shall be payable to the Club Treasurer.

 

(c)   The fiscal year of the Club shall be January 1 through December 31 of each year.

 

Article X - Dissolution

 

In the event of dissolution of this Club, all of its remaining assets, after payment of all costs and expenses of such dissolution shall be distributed in accordance with any governmental regulations to MoFRW.  None of the assets shall inure to the benefit of any officer or member of High Noon Republican Women.

 

Article XI - Parliamentary Authority

 

The most current copy of Robert’s Rules of Order, Newly Revised, shall govern all proceedings of this club except where inconsistent with the provisions of these bylaws or the bylaws of MoFRW.

 

Article XII - Amendments

 

These bylaws may be amended or revised by a two-thirds vote at any regular meeting provided the proposed amendments or revision is e-mailed or mailed to all members thirty (30) days prior to said meeting.  Upon approval of any amendments or revisions, copies shall be submitted to the MoFRW President and the MoFRW Parliamentarian within thirty days following adoption.

Standing Rules

 

1.  Regular Club meetings shall meet on the 3rd Monday in January, March, May, July, September, October, and December (officer installation) at 11:00 a.m.  The place to be determined at the previous meeting.

 

2.  Social meetings shall be on the 3rd Monday in February, April, June, August, and November at 11:00 a.m.

 

3.  The President shall report on all correspondence and e-mail from MoFRW, NFRW, and the 5th Congressional District Club at each regular Club meeting.

 

4.  Dues shall be $15.00 for Regular, Affiliate and Honorary members, and $6.00 for Associate members.

 

5.  A new member joining after September 1 shall pay $5.00 dues for that year for membership in the Club and will not be eligible for MoFRW and NFRW membership during that calendar year.

 

6.  The Treasurer shall remit annually the following dues and fees to:

$2.00 – MoFRW Per Capita Membership Fee

$5.00 – 5th Congressional District dues (per Club)

$15.00 – NFRW Service Charge (per Club)

$10.00 – NFRW Per Capita Membership dues 

 

7.  All Officers and Committee Chair shall present itemized bills to the Treasurer for payment within one month of the purchase.  The Executive Committee must approve any expenditure in access of $25.00 that is not in the budget.

 

8. The President and MoFRW Convention Delegates shall receive the registration paid when the Convention is in the Kansas City area.  When the Convention is in another location, the President and State Delegates will receive the registration fee paid, as well as one night’s lodging to be shared by the President and Delegates.

 

9.  When Lincoln Days is in the Kansas City, all Club Officers shall receive their registration fee paid.  The Club shall pay the President’s registration fee and MoFRW luncheon fee to any state Lincoln Days. 

 

10. Standing rules may be adopted or amended by a simple majority without previous notice.
